Welcome to Pitch Simple. Please read these Terms of Service ("Terms") carefully before using our platform, creating an account, or purchasing a membership.

1. Acceptance of Terms

By clicking "I Agree," registering an account, or purchasing a membership on Pitch Simple (the "Platform", "we", "us", or "our"), you ("Writer", "User", or "you") agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility and Account Registration

  • Age Requirement: You must be at least 18 years old to create an account.
  • Accuracy of Information: You agree to provide accurate, current, and complete information during registration and keep your account details updated.
  • Account Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Tiered Memberships, Fees, and Billing

  • Membership Tiers: Pitch Simple offers tiered membership options providing varying levels of platform access, features, and visibility.
  • Subscription Fees: Fees are billed in advance on a recurring basis (monthly or annually) depending on the plan selected at checkout. All fees are non-refundable.
  • Price Changes: We reserve the right to modify membership fees. Any price changes will be communicated with reasonable notice before taking effect.
  • Cancellation and Expiration: You may cancel your membership at any time through your account settings. Access will continue until the end of your current paid billing cycle.
  • Visibility Billing Condition: You explicitly acknowledge that your works are only visible to industry experts and investors while you maintain an active, paid membership. If your membership expires or payments lapse, your projects will immediately become hidden and unavailable for industry view.

4. Intellectual Property, Platform Registration, and Reading Permissions

  • 100% Writer Ownership: You retain 100% ownership of all intellectual property, copyrights, and rights to any scripts, loglines, pitches, treatments, or pitch decks you upload to the Platform.
  • Reading Permissions: By submitting your pitch or uploading materials (including pitch decks, full scripts, or treatments), you explicitly grant verified industry executives and investors permission to review and read the materials, subject to your active account standing.
  • No Public Display or Sale: Pitch Simple will not use, sell, or display your works publicly. Your content remains secure and visible strictly to verified platform members while your paid account is active.
  • Platform Registration Certificates: Upon uploading a pitch, the Platform automatically generates a registration certificate. You acknowledge that this certificate serves as internal platform evidence confirming that the work, title, and author have been registered on Pitch Simple to help protect your ideas moving forward.

5. Marketplace Mechanism and Disclaimers

  • Facilitation Mechanism Only: Pitch Simple operates strictly as a marketplace and structural connection mechanism linking industry executives and investors to writers' original works.
  • No Representation or Agency: We make no claims to act as an agent, manager, or legal representative, and we do not sell your work on your behalf.
  • No Guarantees of Success: Pitch Simple does not guarantee that your slate of works or any individual work will be optioned, purchased, sold, or created. All commercial outcomes remain dependent on external negotiations.

6. Platform Competitions and Contests

  • Separate Official Rules: Pitch Simple may run periodic writing competitions offering monetary prizes (including 1st through 4th place allocations) and industry exposure. Each competition is governed by its own specific "Official Competition Rules, Terms, and Conditions."
  • Incorporation by Reference: By entering any competition hosted by Pitch Simple, you agree that your entry is subject to both these master Terms of Service and the specific Official Rules of that competition.
  • Ownership Preservation: Unless explicitly stated otherwise in a specific competition's rules, entering a contest does not transfer ownership of your underlying intellectual property to Pitch Simple.

7. Acceptable Use and Platform Conduct

You strictly agree not to:

  • Upload content that infringes upon the intellectual property, privacy, or publicity rights ofany third party.
  • Defame, harass, abuse, or threaten other users, or upload offensive, obscene, or hateful material.
  • Use automated systems, bots, or scrapers to extract data from the Platform.
  • Share your account access or login credentials with any third party.

8. Limitation of Liability and Indemnification

  • Disclaimer of Warranties: The Platform is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied.
  • Limitation of Liability: To the maximum extent permitted by law, Pitch Simple shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or intellectual property exploitation opportunities.
  • Indemnification: You agree to indemnify and hold harmless Pitch Simple, its affiliates, officers, and employees from any claims, damages, or legal fees arising out of your breach of these Terms or your uploaded content.

9. Termination

We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without notice, for conduct that violates these Terms or is harmful to other users or the business interests of Pitch Simple.

10. Governing Law, International Use, and Jurisdiction

  • Global Availability: Pitch Simple welcomes and is available to writers, investors, and industry executives worldwide. If you access the Platform from outside Australia, you are responsible for compliance with your local laws.
  • Governing Law: These Terms, the operation of the Platform, and any contractual or non-contractual disputes arising out of them shall be governed exclusively by and construed in accordance with the laws of the State of Victoria, Australia.
  • Exclusive Jurisdiction: You irrevocably agree that the courts of Victoria, Australia, shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or your use of the Platform.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on the Platform and updating the "Last Updated" date. Continued use ofthe platform after changes constitutes acceptance of the new Terms.

Writer Acknowledgment

By checking the box next to "I have read and agree to the Terms of Service," you acknowledge that you understand and agree to be bound by this entire agreement.
