1 Acceptance of Terms

By clicking “I Agree,” registering an Industry account, or accessing the Pitch Simple database (the “Platform”), you (“Industry User”, “Executive”, “Investor”, or “you”) agree to be legally bound by these Terms of Service.

2 Purpose of Access and Permitted Use

Talent Scouting and Sourcing: You are granted access to this Platform strictly as a marketplace to source, scout, and discover original writing talent and creative works with the view to find intellectual property (IP) to option, purchase, or develop.
Prohibition on Verification Sharing: Your account is personal to you or your designated company representative. You must not share your login credentials or download links with unverified third parties.

3 Acknowledgment of Writer Ownership and Platform Protection

Non-Creator Status: You explicitly acknowledge and agree that you are not the creator of any of the screenplays, pitches, treatments, loglines, or pitch decks hosted on the site.
Prior Registration Acknowledgment: You acknowledge that all materials hosted on the Platform are protected by copyright law and have been registered by their respective authors within the Pitch Simple internal tracking system, as evidenced by platform-generated Registration Certificates.

4 Direct Communication, Offers, and Mandatory Contracting

Direct Communication Requirement: If you wish to option, purchase, develop, or utilize any material discovered on the Platform, you must contact the writer directly through the contact mechanisms provided on the Platform to make a formal offer.
Separate Commercial Contracts Required: You explicitly acknowledge that Pitch Simple does not provide, draft, or negotiate option agreements, purchase agreements, or financial terms. Any agreement to utilize a writer’s work requires a separate, legally binding contract executed directly between you (or your production entity) and the writer. No rights are transferred via the Platform.

5 Strict Intellectual Property Protection and Anti-Theft Provisions

Unauthorized Use Prohibited: Any unauthorized use, reproduction, exploitation, adaptation, or production of any material found on this Platform—without first entering into an executed, written commercial agreement with the writer—is strictly prohibited and constitutes a material breach of this Agreement and an infringement of international copyright law.
Protection of Ideas and Concepts: You agree that you cannot take, extract, or adapt plots, characters, scripts, or unique creative ideas discovered on this site to produce films, television, or digital media without the express written consent of, and financial compensation agreed with, the original writer.
No Circumvention: You agree not to circumvent the Platform to obtain a writer’s contact information for the purpose of avoiding your obligations under these Terms or attempting to extract rights without a formal contract.

6 Disclaimer of Warranties and Limitation of Liability

As-Is Basis: Pitch Simple provides access to the database on an “as-is” basis. We do not perform legal chain-of-title audits on behalf of writers and make no warranties regarding the ultimate commercial viability of any script.
Platform Liability Exemption: Pitch Simple is not a party to any disputes, copyright claims, or contract breaches that may arise between you and a writer.

7 Breach, Account Termination, and Legal Remedies

Immediate Termination: Any suspected unauthorized use or theft of a writer’s intellectual property will result in the immediate and permanent termination of your Industry account, without refund.
Legal Action: Pitch Simple reserves the right to assist writers by providing registration metadata, system logs, and certificate details to legal authorities or courts of law in the event of a copyright infringement claim against you.

8 Governing Law and Jurisdiction

Governing Law: This Agreement, the access to the database, and any legal disputes arising from it shall be governed exclusively by and construed in accordance with the laws of the State of Victoria, Australia.
Exclusive Jurisdiction: You irrevocably agree that the courts of Victoria, Australia, shall have exclusive jurisdiction to settle any legal action, dispute, or claim arising out of your use of the Platform or its materials.
